Green Lantau Association Constitution
(2007 Revision) Date: 15th December 2007
1. General Stipulation
1.1. The name of the Association shall be “Green Lantau Association”.
1.2. The address of the Association shall be: House B-12 Leyburn Villas, Cheung Sha, Lantau Island, Hong Kong.
1.3. The object of the Association shall be:
1.3.1. To protect the natural environment of Lantau Island.
1.3.2. To enhance the sense of caring and loving of Nature among the local people as well as the people of Hong Kong.
1.4. The official languages of the Association shall be Cantonese and English.
2. Membership
2.1. Membership requirements for both non-voting and voting members of the Association.
2.1.1. Willing to abide by the regulations of the Association.
2.1.2. Having submitted application form and having obtained approval from the Executive Committee.
2.1.3. Having paid the annual membership fee if required.2.2.
2.2. Rights and duties of non-voting members.
2.2.1. To take part in the activities organized by the Association.
2.2.2. To choose to be a voting member.
2.2.3. To abide by the Constitution of the Association and the resolutions passed by the General Meeting and Extraordinary General Meeting.
2.2.4. To pay an annual membership fee of $100 to be paid in January each year if required.
2.2.5. To assist in promoting and implementing the objects of the Association.
2.3. Rights and duties of voting members.
2.3.1. Same as those of non-voting members.
2.3.2. To propose candidates for the Executive Committee and vote at general meetings.
2.3.3. To take part in the Executive Committee and working groups of the Association.
2.3.4. Life member.
2.4.5. Members who donate $1000 or more to the Association will be offered non-voting life membership.
2.4.6. Except for annual membership fee requirements, life members shall be subject to the same rules governing other members.
2.4.7. Life members who regularly take part in the activities of the Association can request to become voting members.
3. Administration
3.1.The supreme authority of the Association shall be vested in the General Meeting during which recession the Executive Committee shall be the executive organ.
3.2. Three voting members shall be elected annually from the General Meeting to form the Executive Committee. The Executive Committee members may choose from among themselves a Cantonese and an English spokesperson. The spokespersons shall reflect the position of the Executive Committee in contacts with the public, the media and the government.
3.3. The term of office of Executive Committee members shall be one year and Executive Committee members may be re-elected for subsequent terms.
3.1. Functions and powers of the General Meeting.
3.4.1. To pass amendments to the Constitution of the Association.
3.4.2. To elect Executive Committee members.
3.4.3. To review all past affairs and draft future policy.
3.4.4. To consider the progress of the Association and adopt the membership and financial reports.
3.5. Functions and powers of the Executive Committee.
3.5.1. To implement the resolutions passed by the General Meeting and the Extraordinary General Meeting.
3.5.2. To draft and implement plans for the following year.
3.5.3. To attend to the daily affairs of the Association.
3.5.4. To propose motions to the General Meeting and to appoint members to form working groups
4. Meetings
4.1. The General Meeting.
4.1.1. Shall be held in December each year.
4.1.2. Voting members of the Association shall be notified at least two weeks in advance by e-mail or by post
4.1.3.The quorum of the meeting shall consist of at least 20 percent of voting members who have been registered as such for at least three months before the date of the General Meeting.
4.1.4. In the absence of a quorum the Meeting shall pass a date and time for an adjourned meeting. The adjourned meeting shall be convened no sooner than two weeks and no later than four weeks fromthedate of the original meeting. Immediately after the meeting has been adjourned all members shall be notified by e-mail or by post.
4.1.5. At the adjourned meeting any number of members present shall be a quorum as long as requirements of this Constitution have been fulfilled
4.2. The Extra-ordinary General Meeting.
4.2.1.Shall be held upon the written request of over two thirds of all the Executive Committee members or over half of the voting members of the Association.
4.2.2.When a decision to hold the meeting is made, the meeting shall be caused to be held within one month.
4.2.3.Discussions held and resolutions passed at the meeting shall be confined to only those points listed in the request.
4.2.4.The quorum of the meeting and the way of notifying the members shall be the same as that of the General Meeting.
4.3. The Executive Committee.
4.3.1. Shall be held once every three months as regular meetings.
4.3.2. Shall be held any time when it is deemed necessary.
4.3.3. For every meeting, members of the Executive committee shall be notified no less than seven days in advance.
4.3.4.The quorum of the Meeting shall consist of over half of all the Executive Committee members
4.4. Motions at all meetings shall be carried by simple majority rule.
5. Election
5.1. The election for the Executive Committee shall take place during the General Meeting to be held
in December each year
5.2. Voting members who are willing to stand for office shall be individually elected by other voting members attending the meeting by show of hands according to the simple majority rule.This simplified voting approach assumes an Association membership of no more than one hundred.In the event of the Association’s membership increasing to above on hundred, consideration shall be given to applying the more complex voting system as described in earlier versions of the Constitution.
5.3. The newly elected office bearers shall have a meeting with the outgoing office bearers and take over their duties within two weeks from the recession of the General Meeting
5.4. The new Executive Committee shall announce the list of their office bearers to other had concerned organizations and government departments as appropriate and submit the same art to the Registrar of Societies for information within one month from the General Meeting
6. Financial Affairs
6.1. The Association may raise annual fees from its members.
6.2. The Executive Committee may raise funds from its members.
6.3. Funds raised by the Association shall be applied solely to meet its recurrent expenditure and subsidize the activities organized by the Association.
7. Penalties
7.1.Members who commit one of the following breaches may, subject to the approval of the General Meeting or the Extraordinary General Meeting, be banned or expelled from the Association by the Executive Committee.
7.1.1. Infringement of the Constitution and the resolutions passed by the General Meeting or Extraordinary General Meeting.
7.1.2. False use of the name of the Association.
7.1.3. Failure to pay the membership fee within the prescribed period if requested.
7.1.4. Violation of the local criminal law, having been convicted.
7.2. Voting members who have not taken part in any activities organized by the Association for one year may, subject to the approval of the General or Extraordinary General Meeting, be assigned the status of non-voting members.
8. Debts and Liabilities
8.1. Any debts of the Association shall be borne by all the Executive Committee members of the term in which the debts were incurred.
9. Appendix
9.1. In case the Association should dissolve, the decision shall be made by the General or the Extraordinary General Meeting and assented to by over half of all the members of the Association. Any remaining assets of the Association upon its dissolution shall be donated to an environmental protection organization of Hong Kong.
9.2. Any amendments to the Constitution shall be passed by the General or Extraordinary General Meeting and approved by the Registrar of Societies before it comes into effect.
9.3. The authority on the interpretation of the Constitution of the Association shall be vested in the General Meeting or the Extraordinary General Meeting of the Association.
9.4. The English version of the Constitution of the Association submitted to the Registrar of Societies shall be regarded as the standard version and shall prevail in the event of any dispute on interpretation arising.
